Intellectual Property, Proprietary Rights, Trade Secrets and All Rights Reserved Policy

1. Introduction

1.1 This Intellectual Property, Proprietary Rights, Trade Secrets and All Rights Reserved Policy ("Policy") sets out the ownership, protection, use and enforcement of the intellectual property rights, proprietary rights, confidential information, trade secrets, software assets, artificial intelligence capabilities, methodologies and know-how owned, controlled or licensed by OpnLabs Pty Ltd ("OpnLabs", "we", "our" or "us").

1.2 OpnLabs is the creator, owner and operator of DyDox and related technologies, products, services, platforms, software systems, documentation capabilities, cybersecurity assessment methodologies, artificial intelligence capabilities and proprietary business processes.

1.3 This Policy applies to all visitors, users, customers, partners, contractors, suppliers, resellers, consultants and any other persons or entities who access, use, evaluate or interact with OpnLabs technology, products, services, websites, software, documentation or proprietary materials.

1.4 Nothing in this Policy grants any licence, assignment, transfer or ownership interest in any intellectual property of OpnLabs except as expressly provided in a written agreement executed by OpnLabs.

2. Ownership of Intellectual Property

2.1 Unless expressly stated otherwise in a written agreement signed by OpnLabs, all intellectual property rights in and relating to OpnLabs, DyDox and associated technologies are and shall remain the exclusive property of OpnLabs.

2.2 Such intellectual property includes, without limitation:

(a) copyrights;

(b) trade marks;

(c) service marks;

(d) business names;

(e) domain names;

(f) patents;

(g) patent applications;

(h) patentable inventions;

(i) trade secrets;

(j) proprietary information;

(k) know-how;

(l) methodologies;

(m) processes;

(n) systems;

(o) algorithms;

(p) software;

(q) source code;

(r) object code;

(s) scripts;

(t) application programming interfaces;

(u) workflows;

(v) architectures;

(w) dashboards;

(x) designs;

(y) documentation;

(z) templates;

(aa) data structures;

(ab) databases;

(ac) data models;

(ad) user interfaces;

(ae) graphics;

(af) visualisations;

(ag) reports;

(ah) marketing materials;

(ai) training materials;

(aj) branding;

(ak) logos; and

(al) all derivatives, modifications, enhancements and improvements thereof.

2.3 All rights not expressly granted are reserved by OpnLabs.

3. Copyright Notice

3.1 Copyright in all content, software, documentation, methodologies, reports, templates, workflows, graphical elements, databases, code, designs and materials made available by OpnLabs is owned by or licensed to OpnLabs and is protected by Australian and international copyright laws.

3.2 Except as expressly authorised by OpnLabs in writing, no part of any OpnLabs material may be copied, reproduced, modified, distributed, transmitted, displayed, published, stored, adapted or otherwise exploited.

4. Trade Marks

4.1 OpnLabs, DyDox and all associated names, logos, branding elements, product names, service names, slogans and visual identifiers are proprietary assets of OpnLabs.

4.2 Nothing contained within any OpnLabs website, platform, product or documentation grants any licence or right to use any trade mark, branding element or logo without prior written permission from OpnLabs.

4.3 Unauthorised use of OpnLabs trade marks is strictly prohibited.

5. Patents and Patentable Innovations

5.1 OpnLabs may own, develop, file, maintain or acquire patents and patent applications relating to its products, services, technologies, methodologies and innovations.

5.2 Any innovation, invention, process, system, architecture, algorithm, methodology, workflow, artificial intelligence capability or software functionality developed by OpnLabs may be protected by patent rights, patent applications, trade secret protection or other proprietary rights.

5.3 Public disclosure of any OpnLabs technology does not constitute a waiver of any patent, patent application or patentable rights.

6. Trade Secrets

6.1 OpnLabs maintains valuable trade secrets which derive independent economic value from not being generally known.

6.2 Trade secrets owned by OpnLabs include, without limitation:

(a) proprietary cybersecurity assessment techniques;

(b) assessment readiness workflows;

(c) dynamic documentation generation methodologies;

(d) AI orchestration methods;

(e) knowledge graph construction techniques;

(f) prompt engineering methodologies;

(g) framework correlation techniques;

(h) automation workflows;

(i) product roadmaps;

(j) research and development outputs;

(k) decision models;

(l) proprietary algorithms;

(m) implementation methodologies; and

(n) confidential business processes.

6.3 These trade secrets remain confidential regardless of whether they are documented, partially disclosed, embedded within software or observable through system outputs.

7. Proprietary Methodologies

7.1 All methodologies developed, owned or used by OpnLabs are proprietary intellectual property.

7.2 This includes methodologies relating to:

(a) cybersecurity assessments;

(b) assessment readiness;

(c) compliance automation;

(d) risk management;

(e) framework implementation;

(f) evidence collection;

(g) evidence correlation;

(h) control validation;

(i) reporting;

(j) documentation generation;

(k) documentation lifecycle management;

(l) workflow automation; and

(m) executive reporting.

7.3 The existence of publicly available standards does not diminish OpnLabs' ownership of its proprietary implementation methodologies.

8. Artificial Intelligence and Machine Learning Assets

8.1 All artificial intelligence, machine learning and advanced automation assets developed, configured, maintained or operated by OpnLabs remain the exclusive property of OpnLabs.

8.2 Such assets include, without limitation:

(a) AI models;

(b) model configurations;

(c) prompt libraries;

(d) prompt engineering methodologies;

(e) fine-tuning methodologies;

(f) agent workflows;

(g) orchestration frameworks;

(h) assessment reasoning methodologies;

(i) retrieval architectures;

(j) vector database architectures;

(k) knowledge graph models;

(l) machine learning workflows;

(m) inference pipelines;

(n) automation agents;

(o) decision-support systems; and

(p) associated intellectual property.

8.3 Ownership applies whether such assets are patented, patentable, documented, undocumented, partially documented or maintained as trade secrets.

9. Software and Source Code

9.1 All software comprising or supporting OpnLabs products and services is proprietary to OpnLabs.

9.2 This includes:

(a) source code;

(b) object code;

(c) software libraries;

(d) APIs;

(e) integrations;

(f) scripts;

(g) automation logic;

(h) workflows;

(i) system architectures;

(j) databases;

(k) deployment methodologies;

(l) cloud infrastructure configurations; and

(m) software development assets.

9.3 No rights to source code are granted unless expressly provided in a written agreement executed by OpnLabs.

10. Dynamic Documentation Capabilities

10.1 OpnLabs has developed proprietary dynamic documentation capabilities and methodologies.

10.2 These proprietary assets include:

(a) Dynamic SSP generation;

(b) Dynamic SoA generation;

(c) Dynamic SRMP generation;

(d) Dynamic CAR generation;

(e) Dynamic compliance artefact generation;

(f) Documentation maintenance methodologies;

(g) Documentation lifecycle automation;

(h) Automated compliance documentation generation; and

(i) Documentation orchestration frameworks.

10.3 All related methodologies, workflows, algorithms, templates, automation capabilities and implementation techniques are proprietary intellectual property of OpnLabs.

11. Cybersecurity Assessment Methodologies

11.1 All cybersecurity assessment methodologies used by DyDox and OpnLabs remain proprietary.

11.2 These methodologies include:

(a) assessment readiness methodologies;

(b) evidence collection methodologies;

(c) evidence validation methodologies;

(d) control validation methodologies;

(e) compliance assessment methodologies;

(f) risk assessment methodologies;

(g) maturity assessment methodologies;

(h) reporting methodologies;

(i) remediation methodologies; and

(j) assessment automation methodologies.

11.3 Ownership applies irrespective of whether such methodologies reference publicly available standards, frameworks or regulatory requirements.

12. Knowledge Graph and Data Models

12.1 OpnLabs owns all rights in its proprietary knowledge graph architectures, correlation engines, ontologies, taxonomies, metadata structures and data models.

12.2 This includes:

(a) framework mapping models;

(b) compliance correlation models;

(c) control mapping models;

(d) evidence correlation models;

(e) relationship models;

(f) retrieval architectures;

(g) semantic data structures; and

(h) graph-based intelligence methodologies.

12.3 All associated implementations constitute proprietary intellectual property and trade secrets.

13. Customer Rights and Restrictions

13.1 Customers are granted only the limited rights expressly provided under their applicable agreement with OpnLabs.

13.2 Customers do not acquire ownership of any OpnLabs intellectual property by virtue of purchasing, subscribing to, evaluating or using any product or service.

13.3 Except as expressly authorised in writing, customers may not:

(a) copy;

(b) reproduce;

(c) distribute;

(d) modify;

(e) commercialise;

(f) sublicense; or

(g) exploit

any OpnLabs intellectual property.

14. Reverse Engineering Restrictions

14.1 Users, customers, partners, suppliers, consultants, competitors and other third parties must not:

(a) reverse engineer;

(b) decompile;

(c) disassemble;

(d) decode;

(e) analyse;

(f) replicate;

(g) reproduce;

(h) benchmark;

(i) extract methodologies;

(j) extract prompts;

(k) extract workflows;

(l) extract automation logic;

(m) discover underlying models;

(n) recreate functionality; or

(o) create derivative works

from any OpnLabs technology without prior written consent.

14.2 Any attempt to circumvent technical protections, access controls or intellectual property safeguards is prohibited.

15. Competitive Use Restrictions

15.1 OpnLabs technology, services, outputs, methodologies and proprietary information must not be used to:

(a) develop competing products;

(b) develop competing services;

(c) replicate DyDox capabilities;

(d) replicate assessment methodologies;

(e) replicate documentation methodologies;

(f) replicate AI orchestration capabilities;

(g) replicate automation capabilities;

(h) train competing artificial intelligence systems;

(i) build competing knowledge graph platforms; or

(j) create substantially similar commercial offerings.

15.2 Any such use constitutes unauthorised use of OpnLabs intellectual property.

16. Confidential Information

16.1 Information disclosed by OpnLabs that is identified as confidential or which would reasonably be understood to be confidential shall be treated as Confidential Information.

16.2 Confidential Information includes:

(a) trade secrets;

(b) source code;

(c) software designs;

(d) product roadmaps;

(e) technical specifications;

(f) methodologies;

(g) research outputs;

(h) AI configurations;

(i) security architectures; and

(j) non-public business information.

16.3 Confidential Information remains the exclusive property of OpnLabs.

17. Feedback and Suggestions

17.1 Any feedback, ideas, suggestions, enhancement requests, recommendations, comments or proposals provided to OpnLabs relating to any product, service or technology may be used by OpnLabs without restriction.

17.2 To the maximum extent permitted by law, all rights, title and interest in such feedback are irrevocably assigned to OpnLabs upon submission.

17.3 No compensation, royalty, attribution or other payment shall be payable in connection with such feedback.

18. Reservation of Rights

18.1 Except for any limited rights expressly granted under a written agreement, no rights are granted by implication, estoppel or otherwise.

18.2 OpnLabs expressly reserves all intellectual property rights, proprietary rights, trade secret rights and other legal rights relating to its products, services, technologies and methodologies.

18.3 All rights not expressly granted are reserved by OpnLabs Pty Ltd.

18.4 All Rights Reserved.

19. Enforcement

19.1 OpnLabs actively protects and enforces its intellectual property rights, proprietary rights and trade secrets.

19.2 OpnLabs reserves the right to pursue all remedies available under applicable law, including:

(a) injunctive relief;

(b) interlocutory relief;

(c) equitable remedies;

(d) damages;

(e) statutory damages where available;

(f) account of profits;

(g) recovery of legal costs;

(h) recovery of investigation costs; and

(i) any other remedy available under Australian law or international law.

19.3 Unauthorised use, disclosure, misappropriation, infringement or exploitation of OpnLabs intellectual property may result in legal proceedings.

Governing Law

This Policy is governed by and shall be construed in accordance with the laws of New South Wales, Australia.

The parties submit to the exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia in relation to any dispute arising from or connected with this Policy.
